Select Water Solutions, Inc. said on October 13, 2026 that its subsidiary Select Water Holdings LLC plans to sell $800 million of senior notes due 2034, subject to market conditions, according to a statement distributed by PR Newswire.

The notes would be offered to qualified institutional buyers under Rule 144A and to non-U.S. buyers under Regulation S, and have not been registered under the Securities Act. They would be guaranteed on a senior unsecured basis by subsidiaries that borrow under or guarantee the issuer's revolving credit facility.

The company, based in Gainesville, Texas, and listed on the New York Stock Exchange under the ticker WTTR, said proceeds, along with cash on hand and borrowings under a new revolving credit facility, would cover part of the cash consideration for its previously announced acquisition of Pilot Water Solutions LLC, repay its term loan facility in full and any outstanding loans under the existing revolver, cover related fees and costs, and fund general corporate purposes and working capital.

The offering is not conditioned on the acquisition closing. If the Pilot Water deal is not completed by March 1, 2027, or is abandoned before then, the issuer must redeem the amount of notes issued above $450 million at 100% of the issue price plus accrued interest. U.S. Bank Trust Company, National Association is trustee for the notes.
