Halper Sadeh LLC, a New York investor-rights law firm, said on Oct. 18, 2026 that it is looking into four pending takeovers of US-listed companies for possible violations of federal securities law or breaches of duty owed to shareholders, according to a statement distributed by PR Newswire.
The four transactions under review are the purchase of Distribution Solutions Group by affiliates of LKCM Headwater Investments at $35.00 a share in cash; the acquisition of Option Care Health by CD&R and McKesson Corporation at $32.05 a share; the buyout of Priority Technology Holdings at $8.05 a share in cash by a group of investors that Thomas Priore, the payments company's chairman and chief executive, is leading; and the sale of the snack maker Utz Brands to Germany's Intersnack Group at $14.25 a share in cash.
The firm said it may press for a higher price, fuller disclosure or other remedies for shareholders, and that company insiders can receive benefits in such deals that other investors do not. The notice was labeled attorney advertising.
