Securities firm Bleichmar Fonti & Auld said on October 13, 2026 that it has opened an inquiry into the planned buyout of Priority Technology Holdings by Thomas Priore, the company's chairman, chief executive and controlling stockholder, according to a statement distributed by PR Newswire.

Priority Technology, a Delaware-incorporated company whose shares trade on Nasdaq under the ticker PRTH, said on September 21, 2026 that it had agreed to be bought by entities tied to Priore and certain affiliates for $8.05 a share in cash. Priore holds roughly 56.54% of the company's stock.

The agreement was cleared by a special committee of directors described as independent and still requires a vote of the minority holders, the firm said. Bleichmar Fonti & Auld said it is examining whether the price is fair to those minority investors and whether the approval process gives them adequate protection, adding that a shortfall on either point could expose Priore and the board to claims that they breached their duties to shareholders.

The firm said it works on a contingency basis and would ask a court to approve any fees. It cited past recoveries including more than $900 million tied to Tesla's board and $420 million from Teva Pharmaceutical Industries. The notice carried an attorney advertising label.
