IonQ said on October 13, 2026 that it had reached a definitive agreement to buy Elisity, a Zero Trust enterprise security company, in an all-stock transaction valued at as much as $1.3 billion, according to Yahoo Finance, which carried a report from Verdict.
As much as $150 million of that total is an earnout tied to Elisity's performance. The number of IonQ shares issued will be set by a 20-day volume-weighted average price before completion, subject to a collar of $33.07 to $49.61 per share. The deal is expected to close in the fourth quarter of 2026, subject to customary conditions and regulatory clearance.
IonQ, which sells post-quantum cryptography and quantum key distribution products, said the purchase would take it into the microsegmentation market, which it put at more than $10 billion. Elisity, founded in 2019, has more than 100 customer deployments worldwide and says it has doubled revenue and its customer count annually.
Niccolo de Masi, IonQ's chairman and chief executive, said the company would be positioned to help customers "protect critical infrastructure and enterprise networks" during the shift to quantum technology. James Winebrenner will stay on as Elisity's chief executive.
IonQ closed its roughly $1.8 billion purchase of semiconductor foundry SkyWater Technology in July 2026. It reported 40% year-over-year multiproduct revenue growth in the second quarter of 2026.
